Welcome to Ledger, operated by Inference Engines Inc. (“Ledger”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your use of our website (www.ledger.computer), related sites, hosted/downloadable applications, and any other services provided by us (collectively, the “Service”). By clicking “I Accept” or by downloading, installing, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

Arbitration Notice:

Except for certain disputes described under our Dispute Resolution and Arbitration section, you agree that any dispute arising under these Terms will be resolved by binding, individual arbitration. By accepting these Terms, both you and Ledger waive the right to a trial by jury or to participate in any class or representative proceeding.

1. Preamble

  • These Terms set forth the principal provisions for your use of the Ledger application and related services.
  • They govern your access to and use of the application, including any fees charged as agreed upon.
  • These Terms constitute Ledger's official public offer to eligible parties for using our Service.
  • Matters not covered herein may be governed by our Internal Policies, available on our Website. Your acceptance of these Terms implies acceptance of our Internal Policies.
  • The content on our Website is provided “as is” solely for informational purposes. Ledger makes no guarantees—express or implied—that such content is accurate, up-to-date, or complete.

2. Definitions

For clarity, the following definitions apply throughout these Terms:

  • Account: A virtual profile registered by a customer. Accounts may be Personal or Entity accounts.
  • Applicant: An individual or entity seeking to create an Account.
  • Authorization Details: A combination of your login email, password, and two-factor authentication (2FA) code.
  • Authorization: The process of verifying your identity using your Authorization Details.
  • Charge-back: The cancellation of a bank card payment initiated by the cardholder via their bank.
  • Contact Details: The email address and mobile number provided by the customer.
  • Customer: An individual or entity that has completed registration and holds an Account.
  • Dormant Account: An Account that has not been accessed for one year or more.
  • Fees: Charges imposed by Ledger for providing the Service.
  • Funds: USD or stablecoin (USDC) held in a customer's master wallet.

3. Service Description

Ledger provides:

  • Virtual card issuance and management services
  • API access for programmatic card operations
  • Transaction monitoring and reporting tools
  • Secure payment processing infrastructure

4. User Responsibilities

You agree to:

  • Maintain the security of your account credentials
  • Comply with all applicable laws and regulations
  • Use the service only for legitimate business purposes
  • Report any suspicious or unauthorized activity

5. Service Limitations

We reserve the right to:

  • Modify or terminate the service for any reason
  • Refuse service to anyone for any reason
  • Change fees or pricing with notice
  • Limit access to certain features or resources

6. Intellectual Property

All content, features, and functionality of the Ledger service are owned by Inference Engines Inc. and are protected by international copyright, trademark, and other intellectual property laws.

7. Liability

Ledger shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.

9. Dispute Resolution and Arbitration

10. Use by AI Agents

10.1. Definition and Authorization

For the purposes of these Terms, an “AI Agent” is defined as any software-based entity that acts autonomously or semi-autonomously on behalf of a human or legal entity to perform transactions, including the use of Ledger cards. By registering an Account and using our Services, you expressly authorize the use of AI Agents to access and execute transactions through your Account.

10.2. Liability and Control

Although AI Agents may perform transactions on your behalf, you remain fully responsible for ensuring that all transactions conducted by any AI Agent under your Account comply with these Terms and all applicable laws. In the event of any errors, unauthorized transactions, or other issues arising from the use of an AI Agent, you agree to indemnify, defend, and hold Ledger harmless from any resulting losses, damages, or claims.

11. Appendix 1: Prohibited Goods, Works, and Services

The following items and services are prohibited (a non-exhaustive list):

  • Weapons & Defense Products: Firearms, replicas, arms, ammunition, etc.
  • Controlled Substances: Drugs (including marijuana/cannabis), precursor chemicals, and related production instructions.
  • Prescription Medications: Medications dispensed on prescription and their raw materials or production instructions.
  • Government Documents: Fake or counterfeit identification, government-issued documents, and related materials.
  • Uniforms & Special Items: Government agency uniforms, items for law enforcement, and related paraphernalia.
